Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Stewardly, Inc. ("Stewardly," "we," "us"). They govern your access to and use of our website and cloud-based HOA management platform (collectively, the "Service"). Please read them carefully.

By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of a homeowners association or other organization, you represent that you have authority to bind that organization.

1. The Service

Stewardly provides software to help homeowners associations manage dues, maintenance requests, communications, meetings, documents, and community finances. Features vary by subscription plan.

2. Accounts

2.1 Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not available to persons whose access has been previously terminated by Stewardly.

2.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@stewardly.com if you suspect unauthorized access.

2.3 HOA accounts

Each HOA that registers on Stewardly receives a separate organizational account. The individual who registers the HOA ("Board Admin") is responsible for managing members, content, and subscription payments for that account.

3. Subscription and Payment

3.1 Plans and fees

Stewardly offers paid subscription plans with fees described on our pricing page. All fees are in US dollars unless stated otherwise.

3.2 Free trial

New HOA accounts receive a 14-day free trial. No credit card is required to start a trial. If you do not subscribe before the trial ends, your account will be downgraded to a read-only state. Your data is retained for 30 days after trial expiry to allow you to export it.

3.3 Billing

Subscriptions are billed monthly or annually in advance. By providing a payment method, you authorize us (or our payment processor) to charge your card on the billing date. All fees are non-refundable except as required by law or as described in our Refund Policy.

3.4 Taxes

Fees do not include applicable taxes. You are responsible for all sales, use, VAT, or similar taxes arising from your subscription.

3.5 Upgrades and downgrades

You may change your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing cycle.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Upload content that infringes intellectual property rights or contains malware.
  • Harass, threaten, or discriminate against other users.
  • Attempt to gain unauthorized access to any part of the Service or to other accounts.
  • Reverse engineer, decompile, or disassemble the Service.
  • Use automated tools (bots, scrapers) to extract data from the Service without our written consent.
  • Resell or sublicense the Service without written permission.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Your Content

5.1 Ownership

You retain ownership of all content you submit, post, or upload to the Service ("Your Content"), including documents, messages, and financial records.

5.2 License to Stewardly

You grant Stewardly a limited, worldwide, royalty-free license to store, process, display, and transmit Your Content solely to provide and improve the Service. We do not use Your Content to train AI models without your explicit consent.

5.3 Responsibility

You are solely responsible for Your Content and for ensuring it does not violate any law or third-party rights. Stewardly is not responsible for the accuracy or legality of user-submitted content.

6. Financial Data and Plaid

Stewardly integrates with Plaid Technologies, Inc. to enable bank-account connectivity. Your use of Plaid is subject to Plaid's Terms of Service. Stewardly does not store your bank credentials and is not responsible for Plaid's services. Financial data imported via Plaid is your HOA's data; Stewardly processes it only as a data processor on your behalf.

7. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by Stewardly and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service. "Stewardly" and associated logos are trademarks of Stewardly, Inc.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Service may integrate with or link to third-party websites or services. Stewardly does not control and is not responsible for third-party content, privacy practices, or terms. Your use of third-party services is at your own risk.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Stewardly is a software tool. It does not provide legal, financial, or accounting advice. HOA boards are responsible for compliance with applicable laws and governing documents.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEWARDLY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STEWARDLY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

IN NO EVENT SHALL STEWARDLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow limitation of liability for implied warranties or incidental damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Stewardly and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your use of the Service; or (c) your violation of these Terms or any applicable law.

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by you

You may cancel your subscription and delete your HOA account at any time from Account Settings. Upon cancellation, your data is retained in read-only form for 30 days, then permanently deleted.

13.3 Termination by Stewardly

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. We will provide reasonable notice where practicable.

13.4 Effect of termination

Upon termination, your right to use the Service ceases. Sections 5 (Your Content — for existing content), 7, 10, 11, 12, and 15 survive termination.

14. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by prominent notice in the Service at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance. If you do not agree to the new Terms, you must stop using the Service and cancel your subscription.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to a jury trial and to participate in a class action.

16. General

  • Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Stewardly regarding the Service.
  • Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision is not a waiver of future enforcement.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign them freely.
  • Force majeure: Neither party is liable for delays caused by circumstances beyond their reasonable control.
